This Content Submission Agreement (“Agreement”) governs the submission of video content (“Content”) by users (“you” or “User”) to House of FPS (“we,” “us,” or “our”), a platform that curates, distributes, and publishes user-generated clips.
1. Effective Date
The license becomes effective immediately upon execution of this Agreement, regardless of whether House of FPS chooses to publish or use the Content.
2. Grant of Exclusive Rights
By submitting Content, you grant House of FPS:
- An exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, perform, distribute, monetize, and otherwise exploit the Content in any media, now known or later developed.
- This license applies only to the elements of the Content that are your original contributions, including but not limited to your facecam footage, voice commentary, reactions, overlays, editing choices, and any other creative expression you contributed. For clarity, this Agreement does not transfer or claim ownership over third-party materials contained in the Content (e.g., underlying game footage, publisher IP, or licensed audio)
- The right to enforce copyright on your behalf, including but not limited to DMCA takedowns, Content ID claims, counter-notice responses, and legal proceedings.
- You waive any right of withdrawal, attribution, or “moral rights” in the Content to the maximum extent permitted by law.
- This license is irrevocable except by written agreement with House of FPS.
3. Consideration
As consideration for this license:
- House of FPS shall provide you with monetary payment as agreed in writing (including electronic correspondence such as email or chat).
- Monetary payment shall be confirmed in writing (including electronic correspondence such as email or chat) prior to submission, and that confirmation shall be incorporated by reference into this Agreement
- If monetary payment cannot be processed, you may receive credit or recognition as the sole alternative form of consideration.
- Payment or credit will be provided within 8 business days after execution of this Agreement.
4. Representations and Warranties
You represent and warrant that:
- You are the sole creator and owner of the original contributions in the Content (facecam, commentary, overlays, edits, etc.).
- You have not granted exclusive rights to any other party in these contributions (including but not limited to MCNs, agencies, licensors, or individuals).
- The Content does not infringe or violate the rights of any third party.
- You have obtained consent from any individuals appearing in the Content.
- You are at least 18 years old (or the age of majority in your jurisdiction).
5. Indemnification
You agree to indemnify, defend, and hold harmless House of FPS, its affiliates, and its successors from any claims, damages, or liabilities arising from:
- A breach of your representations and warranties;
- Any third-party claims relating to gameplay, background music, or publisher IP contained in the Content;
- Conflicts with prior agreements (e.g., MCNs or agencies);
- Unauthorized or infringing material in your submission.
- House of FPS makes no representation or guarantee that the Content will not be subject to removal or restriction by third parties, including game publishers or platforms. You acknowledge that such removals may occur and agree that House of FPS shall have no liability in such cases.
6. Discretion to Use
House of FPS reserves the right, at its sole discretion, not to use, publish, or distribute the Content, even after execution of this Agreement.
7. DMCA & Copyright Enforcement
- You expressly authorize House of FPS to act on your behalf in enforcing copyright related to the Content, including issuing takedowns, submitting Content ID claims, and responding to counter-notices.
- We will honor valid DMCA takedown requests, and may suspend content if ownership is challenged.
- If ownership of submitted Content is disputed, House of FPS may suspend or revoke use of the Content until the matter is resolved.
- You agree to reasonably cooperate with House of FPS in the event of any copyright dispute, including providing evidence of authorship and executing any additional documents reasonably required to support enforcement.
8. Termination & Repeat Violations
We may reject submissions or terminate this Agreement at any time, particularly for:
- Repeat copyright violations;
- Misrepresentation of ownership;
- Breach of this agreement.
9. Miscellaneous
- This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and House of FPS with respect to submitted Content and supersedes any prior understandings. No amendment or waiver is valid unless in writing and agreed to by House of FPS.
- This Agreement shall inure to the benefit of House of FPS and its successors, assigns, or affiliated entities.
- This Agreement shall be governed by the laws of the State of New York, without regard to conflict-of-law principles. This Agreement constitutes the entire agreement between the parties with respect to the Content and supersedes all prior agreements. Any modification must be in writing and agreed to by House of FPS.
10. Severability
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
User Acknowledgment
By submitting a clip to House of FPS, you:
- Affirm that you own and control the rights necessary to grant this exclusive license
- Agree to all terms above;
